Updated Membership Agreement

The draft SSI Modular Server Specifications (“Draft Specifications”) are available at this time for your evaluation and review only pursuant to the terms below in order to evaluate the desirability of developing products based on the Draft Specifications. Please note that the Draft Specifications represent a substantial increase in detail beyond the specifications of the existing SSI organization (e.g., they are more in-depth and robust than the specifications the SSI organization has traditionally produced). Therefore, it will be necessary to execute a new Membership Agreement prior to the publication of further revisions of this specification that support product development. The terms and conditions of the new Membership Agreement may change as well as potential technical changes to the draft specification based on feedback before it is finalized.

Terms and Conditions:

SSI grants you a non-exclusive, royalty free license under the copyrights in the United States and other countries to download and copy the Draft Specifications for review and evaluation purposes only. No other license is granted hereunder. Distribution of the Draft Specifications to third parties is not permitted or authorized.

The Draft Specifications shall be deemed to be Server System Infrastructure Specifications only for purposes of the Confidentiality provisions of the Server System Infrastucture Specification Membership Agreement (“Membership Agreement”). Member (as defined in the Member’s Agreement) hereby agrees to maintain the Draft Specifications (in accordance with the confidentiality terms of the Adopter’s Agreement) with at least the same degree of care you use to protect the confidential and proprietary information of your employer but no less than reasonable care under the circumstances Ownership of the Draft Specifications remains with SSI.

The recipient of the Draft Specifications (“Recipient”) represents and warrants that (i) he/she is a representative of an Adopter (as defined in the Adopter’s Agreement) authorized by Adopter to enter into agreements of the nature hereof and (ii) that he/she understands and agrees to abide by these Terms and Conditions.
